Terms of Service

1. Definitions

"SpotsOnSpots," "we," "us," or "our" refers to SpotsOnSpots LLC , a Texas limited liability company.

"Service" means the SpotsOnSpots website, application, and related building-endorsed parking marketplace.

"User," "you," or "your" refers to any person who accesses or uses the Service.

"Owner" means a User who lists a parking spot for rent. "Renter" means a User who requests or rents a parking spot. "Building" means a residential community whose management has authorized SpotsOnSpots to operate within it.

2. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

You must be at least 18 years old and legally capable of entering into a binding contract.

3. Accounts and Residency Verification

SpotsOnSpots is a closed-loop marketplace. To list or rent a parking spot at a participating Building, you must be a verified resident of that Building. Verification is performed by Building management against your residency status; SpotsOnSpots does not independently verify residency.

You agree to provide accurate registration information and to keep it current. You are responsible for all activity that occurs under your account and for keeping your password secure.

4. Listings

Owners are solely responsible for the accuracy of their listings, including spot number, location, availability, rental terms, and rate.

By listing a spot, you represent and warrant that (a) you have the right under your Building's governing documents and your unit's deed or lease to lease the spot to another resident, and (b) the spot is in safe and lawful condition.

SpotsOnSpots may remove any listing that violates these Terms, the Building's rules, or applicable law.

5. The Rental Relationship

Any rental of a parking spot is a direct agreement between the Owner and the Renter. SpotsOnSpots facilitates the connection but is not a party to the rental agreement.

Owners and Renters are encouraged to use the rental agreement template SpotsOnSpots provides or any equivalent written agreement before payment is made.

6. Payments

SpotsOnSpots does not currently process payments. Owners and Renters arrange payment directly between themselves using third-party payment methods (e.g., Venmo, Zelle, ACH, check).

SpotsOnSpots is not responsible for any failed, refunded, fraudulent, or disputed payments between Users.

SpotsOnSpots reserves the right to introduce platform-mediated payments (e.g., Stripe Connect) in the future, in which case additional terms specific to payments will apply.

7. Prohibited Uses

You agree not to:

• list a spot you do not have the right to lease;
• use the Service to lease parking to non-residents unless explicitly permitted by your Building;
• circumvent Building access controls (fobs, gate codes, license-plate-recognition);
• scrape, copy, or harvest data from the Service;
• upload malicious code, attempt unauthorized access, or interfere with the Service's operation;
• misrepresent your identity, residency, or any other material fact.

8. Intellectual Property

The Service, including all software, design, text, graphics, and trademarks, is owned by SpotsOnSpots or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service in accordance with these Terms.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. SPOTSONSPOTS DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not guarantee uninterrupted access to the Service, the accuracy of listings, the completion of any rental, or the conduct of any User.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTSONSPOTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE.

OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING FROM YOUR USE OF THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SPOTSONSPOTS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) US $100.

11. Indemnification

You agree to indemnify and hold harmless SpotsOnSpots, its officers, directors, employees, and Building partners from any claim, damage, liability, or expense (including reasonable attorneys' fees) arising out of your use of the Service, your violation of these Terms, or your violation of any third-party right.

12. Termination

We may suspend or terminate your account at any time, with or without notice, for any violation of these Terms or for conduct we believe is harmful to other Users, Buildings, or the Service.

13. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles. Any dispute arising from these Terms or your use of the Service will be resolved in the state or federal courts located in Travis County, Texas, and you consent to the personal jurisdiction of those courts.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by posting an updated effective date on this page or by emailing the address associated with your account. Your continued use of the Service after the changes take effect constitutes acceptance.
